Terms of Service

Welcome to SandoClub. These Terms of Service ("Terms") govern your access to and use of the SandoClub platform, website, and services (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Overview of the Platform
SandoClub is a marketplace platform that connects restaurants ("Restaurant Partners") with customers ("Subscribers") through monthly subscription-based food and beverage offers. SandoClub operates solely as a technology platform facilitating the connection between Restaurant Partners and Subscribers. SandoClub does not prepare, serve, or deliver food or beverages, and is not a party to the underlying transaction between Restaurant Partners and Subscribers.
2. Eligibility
You must be at least 18 years of age and capable of forming a binding contract to use the Service. By creating an account, you represent and warrant that you meet these eligibility requirements and that the information you provide is accurate and complete.
3. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify SandoClub immediately of any unauthorized use. SandoClub reserves the right to suspend or terminate accounts at its sole discretion for violations of these Terms or for any other reason.
4. For Subscribers (Customers)
4.1 Subscriptions and Billing
When you subscribe to a Restaurant Partner's offer, you authorize SandoClub to charge your payment method on a recurring monthly basis. A 5% service fee is added to the offer price set by the Restaurant Partner. Subscriptions auto-renew each billing period until cancelled. You may cancel your subscription at any time through the Stripe billing portal accessible from your dashboard.
4.2 Cancellations and Refunds
When you cancel a subscription, you retain access to your remaining redemptions through the end of your current billing period. No refunds will be issued for partial billing periods. Refund requests for other circumstances may be directed to the Restaurant Partner or to SandoClub support at the discretion of the applicable party.
4.3 Redemptions
Subscription perks are redeemed in-person at the Restaurant Partner's location. You must present your SandoClub dashboard to the restaurant staff for verification. Unused redemptions do not roll over to the next billing period. The specifics of each offer (items included, quantity, and conditions) are determined solely by the Restaurant Partner.
4.4 No Guarantee of Availability
SandoClub does not guarantee that any particular menu item, offer, or Restaurant Partner will remain available. Restaurant Partners may modify, pause, or discontinue their offers at any time. If an offer is discontinued, existing subscribers will retain access through the end of their current billing period.
5. For Restaurant Partners
5.1 Onboarding and Platform Subscription
To list offers on SandoClub, Restaurant Partners must complete the onboarding process, including connecting a Stripe account for payment processing and subscribing to the SandoClub platform subscription ($9.99/month). Restaurant Partners must provide accurate and current business information during onboarding and keep it up to date.
5.2 Offer Obligations
Restaurant Partners are solely responsible for fulfilling the offers they list on SandoClub. By listing an offer, the Restaurant Partner commits to honoring all active subscriptions for the duration of each subscriber's billing period. Restaurant Partners must ensure they have sufficient capacity, inventory, and staffing to fulfill all active subscriptions. Failure to honor subscriptions may result in account suspension or termination.
5.3 Pricing and Fees
Restaurant Partners set their own offer prices. SandoClub charges a 5% service fee on each customer subscription, which is added to the offer price and collected from the customer. The Restaurant Partner receives the full offer price minus standard Stripe payment processing fees. Restaurant Partners are responsible for applicable taxes on the income they receive.
5.4 Stripe Connect
Payments are processed through Stripe Connect. Restaurant Partners must maintain an active Stripe account in good standing. SandoClub is not responsible for payment delays, holds, or issues arising from the Restaurant Partner's Stripe account status or compliance.
5.5 Content and Compliance
Restaurant Partners are responsible for ensuring their offers, descriptions, images, and business practices comply with all applicable local, state, and federal laws, including food safety regulations, health codes, licensing requirements, and consumer protection laws. SandoClub reserves the right to remove content or suspend accounts that violate applicable law or these Terms.
6. Platform Role and Limitation of Liability
6.1 Marketplace Only
SandoClub is a technology platform that facilitates connections between Restaurant Partners and Subscribers. SandoClub is not a restaurant, food service provider, or food delivery service. SandoClub does not prepare, handle, store, or serve any food or beverage items. SandoClub does not employ, direct, or control Restaurant Partners or their staff.
6.2 No Liability for Restaurant Actions
SandoClub shall not be held liable for any acts, omissions, negligence, misconduct, or failures of any Restaurant Partner, including but not limited to: food quality, food safety, allergen disclosures, hygiene practices, service quality, offer fulfillment, business closures, or any injury, illness, or damage arising from the consumption of food or beverages obtained through the platform. Any disputes regarding the quality, safety, or fulfillment of offers are between the Subscriber and the Restaurant Partner.
6.3 Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SANDOCLUB DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
6.4 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SANDOCLUB AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY. SANDOCLUB'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO SANDOCLUB IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
7. Indemnification
You agree to indemnify, defend, and hold harmless SandoClub and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law; or (d) for Restaurant Partners, any claims related to the food, beverages, or services you provide to Subscribers.
8. Intellectual Property
All content, trademarks, logos, and intellectual property displayed on the SandoClub platform are the property of SandoClub or its licensors. Restaurant Partners retain ownership of their own logos, images, and content, and grant SandoClub a non-exclusive, royalty-free license to display such content on the platform for the purpose of promoting their offers.
9. Termination
SandoClub may suspend or terminate your account at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. For Restaurant Partners, active subscriber obligations must be fulfilled through the end of each subscriber's current billing period unless SandoClub determines otherwise. Sections regarding limitation of liability, indemnification, and dispute resolution survive termination.
10. Dispute Resolution
Any disputes arising under these Terms shall first be attempted to be resolved through informal negotiation by contacting SandoClub support. If a dispute cannot be resolved informally within thirty (30) days, it shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Any arbitration shall be conducted on an individual basis; class actions and class arbitrations are not permitted.
11. Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.
12. Modifications to Terms
SandoClub reserves the right to update these Terms at any time. Material changes will be communicated via email or through a notice on the platform. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
